Terms of Service

These Terms of Service ("Terms") govern your access to and use of SMSReady ("Service"), operated by SMSReady ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By creating an account, purchasing services, or otherwise accessing SMSReady, you represent that you are at least 18 years of age, have the authority to enter into these Terms on behalf of yourself or your business, and agree to comply with these Terms and all applicable laws and regulations.
These Terms constitute a legally binding agreement between you and SMSReady. We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of the revised Terms.
2. Description of Service
SMSReady provides A2P SMS compliance infrastructure services for businesses using GoHighLevel (GHL) in the United States. Our Service includes:
- Deployment of compliant business websites with required A2P registration elements
- Installation of compliant SMS opt-in forms in your GoHighLevel subaccount
- Generation of privacy policy and SMS terms pages
- Configuration of GoHighLevel missed call text back workflows
- Preparation of A2P 10DLC registration documentation and submission checklists
SMSReady is a setup and infrastructure service. We are not a telecommunications carrier, not a registered SMS aggregator, and not a legal services provider. We do not guarantee A2P registration approval by carriers, as carrier decisions are made independently by the carriers themselves.
3. Geographic Restrictions
SMSReady is available only to businesses and individuals located in and operating within the United States of America. We enforce this restriction through automated geographic detection. Access from outside the United States is prohibited. If your business operates in multiple countries, only the US operations are eligible for our Service.
By using the Service, you represent that your business is a US-based business and that you are authorized to represent it.
4. Account Registration and Responsibilities
You must create an account to use the Service. You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the security of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access to your account
- Ensuring all business information you provide is accurate and up to date
You may not share your account with others, create multiple accounts to circumvent restrictions, or use another person's account without authorization.
5. GoHighLevel Integration
To use portions of our Service, you must provide your GoHighLevel API key or grant us access to your GHL subaccount. By doing so, you authorize SMSReady to:
- Access your GHL subaccount to install opt-in forms and workflow components
- Read your account configuration as needed to complete our setup services
You represent that you have the authority to grant this access and that doing so does not violate your agreements with GoHighLevel or any third party. SMSReady is not affiliated with, endorsed by, or a partner of GoHighLevel. We access your GHL account solely to install compliance components on your behalf.
6. Payment Terms
SMSReady charges a one-time fee of $197 per account or client setup. Payment is processed through Stripe. All fees are in US dollars. Payment is due at the time of purchase.
All payments are final. We do not offer refunds once the deployment process has begun. If you believe there is an error in billing, contact us at [email protected] within 7 days of your purchase.
We do not store your full payment card information. Payment processing is handled by Stripe, whose terms and privacy policy govern the processing of your payment data.
7. Service Delivery and No Guarantee of Carrier Approval
We will complete your compliance infrastructure setup within the timeframes described on our website. Delivery is subject to:
- Your timely provision of accurate business information
- Successful connection of your GoHighLevel account
- Technical availability of third-party services we rely on
SMSReady does not guarantee A2P 10DLC registration approval. We build the infrastructure that carriers require for registration, and we do so in compliance with current carrier guidelines. However, A2P registration decisions are made by carriers (via TCR — The Campaign Registry) and are subject to carrier policies that can change without notice. Approval timelines, approval decisions, and rejection reasons are outside our control.
We will work with you to address rejection reasons that fall within the scope of our Service if your registration is rejected due to an issue with the infrastructure we deployed.
8. Prohibited Uses
You may not use SMSReady to:
- Register a business you do not own or are not authorized to represent
- Provide false business information for A2P registration purposes
- Send spam, unsolicited commercial messages, or messages that violate TCPA or applicable SMS regulations
- Enable SMS marketing to contacts who have not provided explicit opt-in consent
- Circumvent carrier rules or registration requirements through fraudulent means
- Resell, sublicense, or otherwise transfer your SMSReady account without our written consent
- Use the Service for any illegal purpose or in violation of any applicable law
Violation of these prohibitions may result in immediate termination of your account without refund and reporting to relevant authorities.
9. Intellectual Property
The SMSReady platform, website, and all associated software, designs, and content are owned by SMSReady and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
Content we deploy on your behalf — including compliant websites and opt-in forms — is licensed to you for use in connection with your business's A2P registration. You may not resell or license this content to third parties without purchasing a separate agency account.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMSREADY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. We do not provide legal advice. The compliant websites and opt-in forms we deploy are designed to meet current carrier requirements for A2P registration — they do not constitute legal advice and should not be relied upon as such.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMSREADY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST BUSINESS, OR LOST DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
12. Termination
Either party may terminate these Terms at any time. You may close your account by contacting us at [email protected]. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law.
Upon termination, your access to the Service will end. Websites we have deployed will remain live unless you request their removal. GHL components installed in your account will remain unless you remove them. We have no obligation to remove deployed infrastructure after service termination unless specifically requested.
Sections relating to intellectual property, disclaimers, limitation of liability, and governing law will survive termination of these Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service will be resolved through binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, conducted in English. You waive any right to participate in class action litigation or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
